How to Work with the Counterparty Offline

 

There are cases where the counterparty won’t use EraCLM. In that scenario, the counterparty can work offline using Microsoft Word. The available options in EraCLM are as follows:

  • Counterparty works offline using Word. The framework allows team 0 to work offline using the EraCLM add-in.

  • Counterparty works offline using Word. The framework allows to work offline without using the EraCLM add-in.

These settings are enabled at framework level, and are exclusive, that is, only one setting can be configured at a time.

These settings become functional after team 0 finish the internal negotiation and the controller sends the agreement to the counterparty.

Counterparty Works Offline and the Framework Allows the EraCLM Add-in

This configuration is recommended for scenarios in which the counterparty doesn’t want to use EraCLM and uses Word to make changes to the agreement. Although the configuration allows the use of the EraCLM add-in, the counterparty can’t use it without an EraCLM account. These are instructions for the controller.

  1. To download a Word version of the agreement, go to Agreements > Agreement Name > document.png > Download Counterparty copy.

  2. Send the agreement by email to the counterparty.

  3. When you receive the counterparty’s version of the agreement, upload the new version of the agreement. go to Agreements > Agreement Name > undefined > Upload Counterparty copy.

  4. The agreement is ready for team 0 to review and negotiate.

Counterparty Works Offline and the Framework Doesn’t Allow the EraCLM Add-in

This configuration is recommended for scenarios in which the counterparty doesn’t negotiate the agreement. In this configuration, the controller downloads a Word version of the agreement, sends the agreement to the counterparty, and accepts the agreement on behalf of the counterparty. This configuration assumes that the counterparty doesn’t make changes to the agreement. These are instructions for the controller.

  1. Go to Agreements > Agreement Name > undefined > Download MS Word for offline review.

  2. Send the agreement by email to the counterparty.

  3. To accept the agreement on behalf of the counterparty go to Agreements > Agreement Name and click Accept counterparty’s items.

  4. The agreement is ready to be accepted and/or signed.
