How to Review and Negotiate Your Agreements

When someone assigns you as the counterparty of an Agreement, you receive an email invitation with a link to the Document in the platform.

The following sections guide you to the options when reviewing and negotiation Agreements.


Reviewing an Negotiating an Agreement in EraCLM

To review an Agreement as a counterparty:

  1. Follow the link inside the email received from EraCLM.
  2. Log in or create a EraCLM account if you do not have one.
  3. Now that you are logged in, the system displays the message "You have been assigned as the Controller for this collaboration." If you are the person designated to review this Agreement, click the I'm the Controller button. Otherwise, click Reassign to assign someone else.

    If you choose to Reassign, enter the email of the right person to review this Agreement.

  4. The system displays a preview of the Agreement. If you want to negotiate the terms in your Agreement, click Make Edits. The system displays the Contract Editor screen. To know more about the Contract Editor, refer to the Contract Editor section.

    If you don't want to make changes to the Agreement, click Complete and Sign to display the Select Acceptors dialog box. Set the people you want to accept this Document, if you are responsible for accepting this Agreement, confirm your role is set as an Acceptor as well. Click Close when you finish.

    Click the Accept button in the toolbar, right above the preview of your Agreement. The system displays the Accepting dialog box.

    Click Accept if you accept all terms included in this Agreement.

  5. Accept or decline terms in tags according to your needs, edit text if needed.

  6. Once you're done making changes, the system highlights the Next icon. Click this icon to send back your Agreement to the originator for his review.

Negotiating an Agreement Using Microsoft Word

Depending on the configuration of your framework, EraCLM allows you to negotiate an Agreement with your counterparty using Microsoft Word, making use of our Offline Negotiation feature.

To negotiate an Agreement using Microsoft Word:

  1. Start an Agreement creation process and select the Allow Offline Edits option from the dropdown menu in the Start New Document dialog box. For more information refer to the Creating an Agreement section.
  2. Enter the counterparty email, complete the Agreement drafting process, and start the negotiation process. The system displays a preview of your Document.
  3. Click thepreview-document.png  icon and select Download MS Word for offline review from the dropdown menu.
  4. The system displays a dialog message with information about the offline editing feature. Click Download to download a copy of the Agreement to your local machine and click Close.

    Important

    Keep in mind that EraCLM only supports style changes in the fonts with BoldItalicUnderlineStrikethrough, and changes in Listed items from Microsoft Word. Any other changes in style are not supported.

  5. Once you and your counterparty have finished negotiating offline the Agreement in Microsoft Word format, go back to your Agreement in EraCLM. Click the Document icon and select Upload MS Word from the dropdown menu. The platform displays the Upload Documents dialog box.

  6. Click the Browse button next to Main Agreement to upload your Microsoft Word document from your local machine. Upload an attachment in the option below if needed. Click Next, the system displays the Select Acceptors dialog box.
  7. Set the people you want to accept this Document, if you are responsible for accepting this Agreement confirm that you are set as an Acceptor as well. Click Close when you finish to get a full view of your uploaded file.
  8. Click the Accept button in the toolbar, right above the preview of your Agreement. The system displays the Accepting dialog box.
  9. Click Accept if you accept all terms included in this Agreement. The system sends an email to your counterparty with a link to accept the Agreement in the platform.

    Important

    When your counterparty accepts the Agreement in the platform, the system sends you an email letting you know your counterparty completed the Agreement.


Approving Tags and Sections as an "Approver"

Platform Admins can set Approvers for any Document when configuring a framework in EraCLM.

They set the pre-conditions for when the system requires Approvers for Agreements, tags, or sections.

When someone assigns you as the Approver of an Agreement, you receive an email with the subject "One Agreement is ready for your approval".

To approve or reject an Agreement as a pre-set Approver:

  1. Open the email you received, click Approve Now to go to the EraCLM Login Page.

    You can also go directly to the EraCLM Home Page (https://agree.contractroom.com).

  2. Log in with your EraCLM account. The system displays the Agreement to approve.

    If you did not follow the link in your email and you accessed the platform externalLy, go to the Agreement to approve in the Agreements section on the navigation bar.

  3. Review the content of the Agreement.

  4. Click on the section to approve and click OK if you agree with the content of the section, or click Not OK if you want to make changes.

  5. If you select Not OK, the system displays a dropdown menu with the options with some changeswith all changes.

    If you select Not OK with all changes, the system rejects all the terms in the Agreement and returns the Agreement to the last person to modify the Document.

  6. If you select Not OK with some changes, the system allows you to modify the text within the section. Click Save Text when you finish making changes.

  7. The system sends an email to your counterparty notifying them you have rejected the terms of the Agreement, and allowing them to accept the changes you suggested, or modify the text to complete the negotiation of the Agreement.

  8. The system displays a dialog box with the message "Nothing is pending on you, You are done reviewing all tasks pending on you." Click Back to listing to go to your Agreement listing or click Stay to close the dialog box and stay in the Agreement.

After your counterparty has agreed with your changes, the negotiation process continues between the first party and the second party.


Signing an Agreement Using the EraCLM eSignature

Depending on your framework configuration, the platform allows you to sign Agreements using the EraCLM eSignature once you finish the negotiation process.

  1. When someone assigns you to sign an Agreement, the system sends you an email with a link to the Document. Follow the link inside the email to go to your Agreement in EraCLM.

  2. Log in with your credentials, the system displays the message "You have been assigned as the Controller for this collaboration."

  3. If you are the person designated to review this Agreement, click the I'm the Controller button. Otherwise, click Reassign to assign someone else. The system displays a preview of the Agreement.

  4. Click Complete to continue the signing process, the system displays the Signature Type dialog box. Select Electronic Signature from the How do you want to sign? dropdown menu and click Next.

  5. Select from the Who will sign? dropdown menu if you are signing alone, or if someone else will sign, click Next. The system displays a dialog box with the signature fields in the Agreement.

  6. Fill out the fields with requested information and click Confirm Signature.

  7. The platform displays the message Congratulations! This Agreement was completed., click Close to close this window or download a PDF copy by clicking Download PDF.

You have successfully signed your Agreement using the EraCLM eSignature. You can see the Document in the Agreements section on the navigation bar.


Signing an Agreement with Wet Signature

Depending on your framework configuration, the platform allows you to download your Agreements to sign them with wet signature and reuploading them to the platform.

  1. When someone assigns you to sign an Agreement, the system sends you an email with a link to the Document. Follow the link inside the email to go to your Agreement in EraCLM.

  2. Log in with your credentials, the system displays the message "You have been assigned as the Controller for this collaboration."

  3. If you are the person designated to review this Agreement, click the I'm the Controller button. Otherwise, click Reassign to assign someone else. The system displays a preview of the Agreement.

  4. Click Complete to continue the signing process, the system displays the Signature Type dialog box. Select Paper Signature from the How do you want to sign? dropdown menu and click Next.

  5. Select from the Who will sign? dropdown menu if you are signing alone, or if someone else will sign, click Next. The system displays the Download pages for signature dialog box.

  6. Click Download to get a PDF copy of your Agreement in your local machine so you can print the Document, fill in the corresponding fields, and sign the Agreement accordingly.

  7. Click the Upload Signed Pages button from the toolbar. The system displays a dialog box with the option to upload a PDF file in the platform.

  8. Upload your Agreement by drag and dropping your file, or click browse to find it in your local machine. The system displays a confirmation message telling you that your signature pages were uploaded successfully, and that the Agreement originator has been notified.

    Warning

    The automatic email notifications for this feature are currently disabled. Please notify your counterparty manually.

  9. When the Agreement originator reviews your signature and repeats the same signing process, the system sends you an email with a link to review their signature in the platform.

  10. Go back the preview of your Agreement and click the Review Signed Pages button. The system displays the Signatories dialog box with the signatures on the Agreement.

  11. Find the Agreement originator on the list and click Review Signature. The system shows you the file that the Agreement originator uploaded with both of your signatures.

  12. Click OK. The system displays the confirmation message The signatures were accepted. Click OK to close this dialog box, and click close on the top right of the screen to go back to the Agreement in your account.

  13. The platform displays the message "Congratulations! This agreement was completed.", click Close to close this window or download a PDF copy to your local machine by clicking Download PDF.

You have successfully signed your Agreement using a wet signature. You can see the Document in the Agreements section on the navigation bar.
