Appendix A: Contract Editor

EraCLM has its own Contract Editor full of useful tools to create Agreements, collaborate with your team, execute actions and see the summary of your Agreement.

The Contract Editor functions available depend on your role within the negotiation process, and the status of the Agreement.


Contract Editor for Contract Originator

These are all the Contract Editor available functions for the Contract Originator:

  • Section Merge: Combine sections across the Document.
  • View: Includes the different views available for the Agreement.
  • Preview: See the final version of the Agreement.
  • Term view: See only the tags in the Agreement.
  • Invisible tag editor: Modify the contents of the invisible tags configured in the framework.
  • Document: Includes different downloading options for the Agreement.
  • Download PDF/Print: Download the Agreement as a PDF file to your local machine.
  • Download MS Word document: Download the Agreement as a Microsoft Word file to your local machine.
  • Collaborators: Includes the options to collaborate with other people.
  • Edit My Team: Modify the members of your team in the negotiation process. You can add members and assign them custom actions for specific sections in the Agreement.
  • Edit Counterparties: Add or change the counterparty for this Agreement.
  • History: Includes options to see all the status changes made to this Agreement throughout the negotiation process.
  • Summary: See a timeline of the Agreement's activity, status changes, collaborators information, pending tasks, history and comments.
  • Actions: Includes more actions to take.
  • Cancel: Cancel the Agreement, and go to the home screen.
  • Close Editor: Close the Contract Editor to continue with this Agreement later.
  • Next Arrow: Send the Agreement to the counterparty to start the negotiation process. This icon is activated when there are no more pending actions on your side.

Contract Editor for Negotiators

These are all the Contract Editor available functions for Negotiators:

  • View: Includes the different views available for the Agreement.
  • Preview: See only the tags in the Agreement and their status.
  • Term view:
  • Discussion: Includes the comment creation options.
  • Comment: Make a comment on the Agreement for other members of the negotiation team to see.
  • Document: Includes different downloading options for the Agreement. These options depend on the framework configuration.
  • Download PDF/Print: Download the Agreement as a PDF file to your local machine.
  • Download MS Word document: Download the Agreement as a Microsoft Word File to your local machine.
  • Download MS Word for offline review: Download the Agreement as a Microsoft Word File configured to negotiate offline of the platform to your local machine.
  • Collaborators: Includes the options to collaborate with other people.ff
  • Edit My Team: Modify the members of your negotiation team.
  • Edit My Team Controller: Reassign the role of Controller to someone else.
  • History: Includes options to see all the status changes made to this Agreement throughout the negotiation process.
  • Summary: See a quick summary of the different status of the Agreement.
  • Full History: See a complete log of events of this Agreement. You can see status, collaborators, comments, among other data.
  • Deviation Report: See a side-by-side comparison of the changes made throughout the negotiation process.
  • Actions: Includes more actions to take.
  • Close Editor: Close the Contract Editor so you can continue with this Agreement later.
  • Next Arrow: Send the Agreement to negotiate. This icon is activated once you complete the tags in the Agreement.
